Hatch Social (“Hatch”, “we”, “us”, or “our”) is a digital platform that facilitates creator monetization, subscription communities (“Nests”), and product-based services. These Platform-to-Business (P2B) Terms supplement our Terms of Service and ensure transparency and fairness in accordance with the EU Regulation (EU) 2019/1150 and UK P2B Regulation.
If you are a business user based in the EU or UK, these rights and disclosures apply to you.
- Who Is a “Business User”?
You qualify as a business user if:
- You use Hatch to earn revenue (creator, ambassador, or brand)
- You are established or operate in the EU or UK
- You act in a commercial, professional, or entrepreneurial capacity
This includes individuals, sole proprietors, companies, and entities selling subscriptions or products via Hatch.
- Ranking and Discovery Disclosure
Hatch ranks public content and Nests across feeds and search based on:

If we materially change these P2B Terms, or any Hatch policy impacting business users, we will:
- Provide at least 15 days’ advance notice via email and/or in-platform alert
- Offer you the opportunity to terminate your account without penalty before changes take effect

Exceptions: We may reduce or waive the 15-day period in urgent cases (e.g., legal compliance, fraud prevention, or security).
- Suspension or Termination of Business Users
We may suspend or terminate your business account if:

Hatch Social (“Hatch”, “we”, “our”, or “us”) offers a multi-tiered referral program designed to reward creators, brands, and ambassadors for growing the platform by inviting eligible users. These Referral Program Terms (“Terms”) govern participation in Hatch’s referral system and form part of the Hatch Terms of Service.
By participating in the referral program, you agree to these Terms and all related policies.
- Program Overview
The Hatch referral program allows qualified users to refer new creators to the platform and earn a percentage of their subscription revenue for as long as that creator remains active and paying.
The program operates across three tiers:

Invitees must be:
- New to Hatch (not previously registered)
- Approved by Hatch (manual or automated vetting)
- Active paying creators (Explorer tier signups are not counted)
- Referral Tracking and Attribution
Each eligible Ambassador is issued a unique referral code or link.
Attribution is based on:
- The referral link or code used during sign-up
- First-click attribution (i.e., the first valid referrer tracked)
- A maximum delay of 30 days between link click and account activation
Referral attribution is final once a creator is approved and begins paying. Hatch does not allow disputes over link ownership or tracking errors caused by ad blockers, VPNs, or user error.
- Payment and Earnings
Referral earnings are calculated as a percentage of the platform share of subscription revenue earned by referred creators.• Payouts are made monthly via Stripe Connect
- All amounts shown are net of fees and taxes
- You must complete identity verification to receive funds
- A $50 minimum balance may apply before payouts are issued
Hatch reserves the right to adjust payout timing for fraud prevention or account audit purposes.
- Restrictions and Prohibited Conduct
Participants may not:
- Use paid ads or spam to distribute referral codes
- Pretend to be Hatch or its employees
- Offer cash incentives or misleading promotions
- Recycle or spoof expired referral links
- Mislead creators about payouts or platform terms

Prohibited Activities
You may not use Hatch to:

SECTION 4: User Content and Licensing
As a user, you may upload, post, livestream, sell, or otherwise distribute user-generated content (“UGC”) through the platform. You retain full ownership of your content. Hatch
does not claim ownership of any original work submitted by users.
However, by uploading or sharing content through Hatch, you grant us a limited, royalty free, worldwide license to:
- Display and distribute your content within the Hatch platform and Nests
- Host and transmit content as necessary for platform functionality
- Use anonymized or aggregate representations of public content to improve services
This license does not grant Hatch the right to sell or syndicate your content outside the platform without your explicit consent.
You are solely responsible for the content you submit, including ensuring that it does not infringe upon copyright, violate laws, or breach privacy rights.

SECTION 5: Fees, Payments, and Taxes
Hatch operates on a paid membership and revenue-share model. Fees are required for access to creator tools, launching paid nests, or participating in monetization as a business or ambassador.

- If you cancel your subscription, access continues through the billing period.

You authorize Hatch and its payment partners to charge your selected payment method for recurring fees until canceled.
SECTION 6: Refunds, Cancellations, and Disputes

Cancellations
You may cancel your membership, Nest subscription, or service at any time from your account dashboard. Upon cancellation:
- Your access to paid features will continue until the end of the billing period
- No partial refunds are issued for unused time

Disputes
If you believe a charge was made in error, you must notify us within 14 days by submitting a billing support ticket.

Refunds

Subscriber Responsibilities
When subscribing to a Nest, you agree to:
- Pay the recurring fee displayed at checkout
- Manage your own subscription settings (pause, cancel, change tier)
- Abide by the community guidelines and Nest rules set by the creatorFailure to comply with Nest rules may result in removal without refund.
Creator Obligations
Nest owners are responsible for:
- Delivering the promised content or access for the subscription tier
- Moderating their Nest and enforcing rules fairly

Creators who fail to maintain their subscriptions in good faith may have their monetization privileges revoked.
SECTION 8: Fan–Creator–Platform Relationship (Revenue Splits and Contracts)
When a fan subscribes to a Creator’s Nest, a contractual relationship is established between the fan (subscriber), the creator (Nest owner), and Hatch (platform intermediary).
Legal Framework
- Hatch facilitates access, payments, and platform services as an intermediary—not as the seller of the subscription content.
- Creators are responsible for the content, community management, and delivery of value.
- Fans are entitled to access the tiered benefits described at the time of purchase for the duration of their subscription.

If you believe an action was taken in error, you may file an appeal through our Complaints and Appeals Process. We do not guarantee reinstatement but will conduct a fair and timely review.
Users found evading bans through alternate accounts may be permanently banned without appeal.
SECTION 13: Platform Availability and Technical Issues
Hatch is provided “as is” and “as available.” While we strive to maintain uninterrupted service, we do not guarantee availability or performance at all times.
Service Interruptions
We may experience downtime due to:
- Maintenance, upgrades, or software updates
- Internet or hosting service outages
- Acts of God, government regulation, or other force majeure events
- Platform misuse or malicious attacks
We are not liable for any losses incurred due to temporary unavailability, latency, or technical issues affecting access to Nests or creator content.
Feature Changes
We reserve the right to modify, add, or remove features at any time without prior notice. Some features may be in beta and subject to limited performance or change.
SECTION 14: Third-Party Services and Links
Hatch may contain links to or integrate with third-party websites, products, and services. This includes:
- Stripe Connect and other payment processors
- Embedded content (e.g., video players, e-commerce tools)
- External links shared by creators or Nests

- We do not endorse or assume responsibility for third-party services or content
- Use of third-party services is governed by their own terms and privacy policies
- You interact with third-party tools at your own riskIf you link your account to a third-party service, you authorize Hatch to access and use relevant data as required for functionality and compliance.
SECTION 15: Limitation of Liability and Warranty Disclaimer
To the fullest extent permitted by law, Hatch disclaims all warranties, express or implied, related to the Service.
No Guarantees
We do not guarantee that:
- The platform will be free of errors, viruses, or security vulnerabilities
- All content will meet user expectations
- Nests will be uninterrupted or always accessible
- Creator earnings will meet projections
Limitation of Liability
Hatch is not liable for:
- Lost revenue, profits, or data
- Damages arising from suspension, account removal, or user conduct
- Issues caused by third-party integrations, hosting providers, or payment processors
- Unauthorized access to your account or content
Our total liability is limited to the amount you paid Hatch in the 3 months preceding the claim.
Some jurisdictions do not allow these limitations. If that applies to you, our liability is limited to the minimum extent required by law.
SECTION 16: Indemnification
You agree to indemnify, defend, and hold harmless Hatch, its affiliates, officers, directors, employees, partners, licensors, and agents from and against any claims, liabilities, damages, losses, and expenses, including legal fees, arising out of or relating to:
- Your use or misuse of the platform
- Your violation of these Terms or any other policy referenced herein
- Your violation of any rights of another person or entity
- Content you upload, post, distribute, or otherwise transmit via Hatch
- Disputes between you and other users (including creators, fans, or ambassadors)
- Your failure to comply with applicable laws or tax obligations
We reserve the right, at your expense, to assume exclusive defense and control of any matter subject to indemnification. You agree to cooperate fully in such defense.
SECTION 17: Referral Program Terms
Hatch offers a multi-tiered referral program through which eligible creators and ambassadors may earn income by inviting new users to the platform.

Program Limitations
- Hatch reserves the right to modify, pause, or terminate the program at any time
- Fraudulent activity or code-sharing violations will result in disqualification
- Payouts are made through Stripe or other approved methods and may require identity verification

SECTION 18: Complaints Policy (Including Regulatory Pathways)
If you have a complaint about a decision made by Hatch (e.g., moderation, payment issues, referral status), you may file a formal complaint using our internal resolution process.
Internal Complaints Process
- Submit a written complaint to support@hatch.social
- Include your full name, account email, nature of the complaint, and any supporting documentation
- Hatch will acknowledge receipt within 5 business days and aim to resolve within 14 business days
If we require more time or investigation, we’ll notify you in writing.
Escalation Pathways (EU/UK only)
If you are a business user located in the EU or UK, and your complaint relates to platform access, monetization, or ranking, you may refer unresolved disputes to a certified out-of court dispute settlement body per Platform-to-Business (P2B) Regulation.

SECTION 19: Platform-to-Business (P2B) Regulation Statement (EU/UK)Hatch complies with EU and UK regulations related to transparency, ranking, complaint handling, and fair commercial terms between platforms and business users.
If you are a business user located in the EU or UK:
- You will receive clear terms of service that define ranking algorithms, fee structures, and complaint channels
- You are entitled to at least 15 days’ advance notice of material changes to these Terms, except where urgent action is required (e.g., legal risk)
- You have access to a clear and accessible internal complaints process
- You may request platform performance metrics or ranking explanations where feasible
- You may participate in certified third-party dispute resolution if internal escalation fails
We are committed to ensuring fair and transparent treatment of business users in compliance with applicable law.
SECTION 20: Jurisdiction, Governing Law, and Final Provisions
These Terms are governed by and construed in accordance with the laws of the United States, without regard to conflict-of-law principles. Depending on your location, consumer protection laws or mandatory arbitration rules may also apply.
Jurisdiction and Dispute Resolution
- You agree to submit to the jurisdiction of courts located in Colorado, USA, unless otherwise required by law
- If required, we may also pursue injunctive or equitable relief in any jurisdiction
Entire Agreement
These Terms constitute the entire agreement between you and Hatch with respect to the Service. They supersede all prior or contemporaneous communications and proposals.If any provision is held invalid or unenforceable, the remaining Terms will remain in full force.
No waiver of any right under these Terms will be deemed a further or continuing waiver of such right or any other right.

Hatch Social (“Hatch”, “we”, “us”) is a creator-first platform that supports authentic expression, community-building, and niche monetization. This User-Generated Content (UGC) Moderation Policy outlines how we manage, review, and respond to content published by users across all roles—including Explorers, Creators, Ambassadors, and Brand Accounts.
By posting content on Hatch, you agree to follow this policy, our Terms of Service, and all applicable laws.
- What Is UGC on Hatch?
User-generated content includes anything a user uploads, posts, streams, comments, embeds, or shares through the platform, such as:
- Text (bios, comments, titles, post captions)
- Images and video (livestreams, event recordings, thumbnails)
- Audio (voice posts, music)
- Community metadata (Nest names, tags, custom rules)
- Products or links posted in storefronts
- Direct messages (where permitted)
- Core Content Standards
All users are expected to contribute content that is lawful, respectful, and appropriate for a diverse global audience. We do not allow content that:

Mature content such as nudity or sexual themes may be permitted in private Nests when explicitly labeled and compliant with applicable laws. Public display of explicit content is prohibited.
- Moderation System Structure
Hatch operates a hybrid moderation system, combining:
- Community self-governance (Nest-level moderators, owner rules)
- Platform-wide moderation (Hatch Trust & Safety team)
- Automated detection (flagging known illegal materials, spam, or prohibited links)
- Nest Owner Responsibilities
Creators and brands who operate Nests are considered custodians of their communities.
They are responsible for:
- Setting clear community rules
- Appointing moderators (if applicable)• Reviewing member-submitted posts
- Responding to flagged content
- Removing members who repeatedly violate policies
Failure to enforce minimum platform standards may result in Nest removal or monetization suspension.
- Reporting and Enforcement Process
Users can flag content or profiles via the report tool available on each post or user page.

- Appeals and Reinstatement
Users may appeal moderation actions via our Complaints and Appeals Process by emailing appeals@hatch.social within 14 days of enforcement.
The appeal must include:
- Your account email and username
- A description of the removed content
- Why you believe the action was incorrectAppeals are reviewed within 10 business days. Hatch does not guarantee reinstatement but provides a transparent, documented review.
- AI-Generated Content and Moderation
If you use AI tools (text, image, audio, or video) to generate content on Hatch:
- You must disclose clearly when content is synthetic or manipulated
- You may not use AI to impersonate real individuals or brands
- You may not publish AI-generated CSAM, deepfakes, or violent imagery
Hatch uses a combination of automated tools and human review to monitor for abuse of AI-generated content.
- Repeat Violators and Account Removal
Users who commit repeat or serious violations may be subject to:
- Platform-wide bans
- Monetization revocation
- Referral removal and payout forfeiture
- Public notice of enforcement (when required by law or regulators)
We reserve the right to deny access to individuals, devices, or networks used to circumvent bans.
- External Regulatory Reporting
In cases of severe abuse (e.g., child exploitation, threats of violence, financial scams), we will report users to:
- Local or national law enforcement
- EU Digital Services Act authorities (for flagged systemic violations)
- Payment processors and hosting providers

- Scope of This Policy
This policy applies to:
- All paid users, including creators, ambassadors, and brands
- All regions where Hatch is available, including the U.S., EU, UK, Canada, Australia, India, and Singapore
- All monetized activity, including subscriptions, tips, referrals, and product sales
- VAT and GST on Platform Fees
If you are located in a country that requires VAT or GST on digital services, Hatch will charge and remit the appropriate amount on platform fees as required by law.

If you are a business user located in the EU or UK, you must:

- Understand that Hatch will treat your revenue as business-to-business (B2B) income
- Self-account for VAT via reverse charge (if applicable)
Hatch does not withhold VAT on payouts to EU/UK business users unless legally required. If you are not VAT-registered, you may have additional reporting obligations.
- U.S. Tax Obligations (Form W-9 / W-8BEN)
If you receive payouts through Hatch and reside in or earn income from the United States:
- You must provide tax details via Stripe Connect
- U.S. persons must submit a Form W-9
- Non-U.S. persons must submit a Form W-8BEN (for tax treaty eligibility)
Reporting Threshold
Hatch or Stripe may issue a Form 1099-K or 1099-MISC if you earn:
- $600 or more in a calendar year (U.S. residents)
- $20,000 and 200+ transactions (legacy rule, still used in some states)
Failure to provide tax documentation may delay or suspend payouts.
5. Withholding Taxes (International Users)
Hatch complies with applicable withholding tax treaties. If you reside outside the U.S., you may be subject to tax withholding unless a treaty applies.

Hatch provides monthly earnings reports and maintains transaction-level records visible in your dashboard.

Hatch is responsible for:
- Charging and remitting VAT/GST on platform service fees
- Providing transparency on earnings and deductions
- Collecting tax forms and verifying identity for payouts• Complying with digital marketplace tax laws globally
- Cooperating with local tax authorities if audited or requested
